These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of your child (“you”) and Huiyu Global Education Technology Co., Ltd., doing business as CUBEChinese (“CUBEChinese”, “we”, ”us”, or “our”), concerning your access to and use of the www.cubechinese.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”). You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms and Conditions. IF YOU DO NOT AGREE WITH ALL OF THESE Terms and Conditions, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Your right as a CUBEChinese registered user is a non-transferable and non-exclusive, limited to access and use of the contents and services. Some educational content or community functionalities are available only through the purchase of courses or by becoming a registered user of CUBEChinese.
We may invite you to chat, contribute to, or participate in blogs, message boards, channels, and other media functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Site, including but not limited to text, writings, video, audio, photographs, comments, suggestions, personal information, or other material (collectively, “Contributions”). Contributions may be viewable by other users of the Site and through third-party websites. As such, any Contributions you transmit may be treated as non-confidential and non-proprietary.
By posting your Contributions to any part of the Site under your permission, you represent and warrant that you grant us an unrestricted, unlimited, irrevocable, non-exclusive worldwide right and license to host, use, reproduce, publish, store, publicly display and distribute such Contributions for any commercial purposes mutually agreed. By accepting these Terms and Conditions, you acknowledge and agree that all content presented to you on this site is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws, and is the sole property of Huiyu Global Education Technology Co., Ltd., and/or its Affiliates. You are only permitted to use the content as expressly authorized by us or the specific content provider. Lessons may be postponed to another day in the week in the event of a public holiday, subject to change depending on local arrangements. All changes in time and lessons will be pre-notified to you to make necessary arrangements.
You may elect to enroll in any of the program we offer as follows:
You acknowledge and agree that for 1-on-2 60 minutes class, you will be paired with the other party (“classmate”) with similar age and language proficiency. In any circumstance that you have not be paired for a proper classmate yet, you consent that the lesson duration will be 45 minutes instead of 60 minutes.
You may share reviews or designated content on personal social media platforms such as WeChat moments, Facebook, Twitter, Instagram, etc., and send the screenshots to CUBEChinese for validation. CUBEChinese will verify the content and add the Sharing Reward to your account within 5 business days. If any changes of the Sharing Reward are made, you will be notified by us.
You may playback the recording to review the lesson performance within 3 months since the lesson occurs. Any recordings beyond 3 months will be disposed due to privacy protection.
You shall ask for a temporary leave at least 2 days in advance. If the lesson has been started for 5 minutes, no leave request will be accepted and your lesson credit will be deducted. You shall notify us in advance if sickness or any other special circumstances occur.
Written request shall be made for the temporary leave. You may contact us through WeChat, WhatsApp, or email.
i) You have purchased 10 or more lessons, excluding any Sharing Reward;
ii) For every 10 lessons purchased, you will be permitted to request for a leave without accountability. If all available permits of leave without accountability have been used up, your further leave request will be accounted as no-shows, and your lesson credit will be deducted.

You shall apply for the suspension at least 14 days in advance. CUBEChinese reserve the right to decline the suspension request if notification is not received 14 days in advance.
If a teacher requests for a leave, it is our responsibility to substitute the teacher in time and ensure the lesson starts as scheduled.
If a teacher is late for the lesson, the teacher shall make up the lost time based on the length of the lesson. If the total lost time adds up to one lesson length, an extra lesson credit will be added your course package.
We will restore or add the lesson credit back to your package depend on the situation, when the following circumstances occur:
i) Teacher failed to start the lesson due to internet issue.
ii) Teacher missed the lesson and CUBEChinese did not notify you.
iii) Teacher did not finish the class due to power cut or internet issue.
iv) Teacher failed to provide service due to software system issue.
We reserve the right not to restore your lesson credit, when the following circumstances occur:
i) Lesson quality was affected because you were not properly prepared for the class due to change of equipment, location or other factors that lead to internet issue or noisy environment on your end.
ii) You use 3G, 4G or other unstable mobile network instead of WiFi/Cable and you did not use the assigned software properly.
iii) You did not follow the Leave Policy.
iv) You are late or absent for the lesson.
You are entitled to a refund of the full payment for any purchased course package by filing a request for refund to CUBEChinese provided that:
a)You have not taken any lessons for the purchased course package before filing the request for refund; and
b)You will be responsible for any bank transaction fees in connection with the refund, which will be deducted from the payment to you.
If you request a refund for a purchased course package of which one or more lessons have been consumed, you are entitled to a refund of the payment for the remaining lessons with the original price (excluding discount/promotional offers and/or bonus classes), as shown in the formula below. You will be responsible for any bank transaction fees incurred in connection with the refund.
Amount of refund = the amount paid for the course – the number of completed lessons as schedule (including no-shows) × the price per lessons at the time of purchase – the market price of goods/products sent to you by us (if any)
The refund process will take 15-30 business days since the date refund request was permitted. Refund will be returned to the original method of payment unless other method is requested.
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorney’s fees and expenses, made by any third party due to or arising out of: (1) your Contribution; (2) use of the Site; (3) breach of these Terms and Conditions; (4) any breach of your representations and warranties set forth in these Terms and Conditions; (5) your violation of the rights of a third party, including but not limited to intellectual property right; or (6) any overt harmful act toward any other user of the Site with whom you connected via the Site. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, proceeding which is subject to this indemnification upon becoming aware of it.
If any dispute occurs, both parties should negotiate friendly for settlement. The Agreement is governed and constructed in accordance with the laws of Hong Kong. The appointing authority shall be Hong Kong International Arbitration Center (HKIAC). The place of arbitration shall be in Hong Kong at HKIAC.

The terms and conditions for CUBEChinese services by becoming a registered user are equal to a legal agreement with CUBEChinese. You agree to comply with this agreement, which will remain in effect for the whole course period. Our failure to exercise or enforce any right or provision of these Terms and Conditions shall not operate as a waiver of such right or provision.
CUBEChinese reserves the right to terminate your registration either upon expiration of the course period or upon breach or violation from the registered user of the Terms and Conditions. If you provide any information that is untrue, inaccurate, not current, incomplete, or CUBEChinese has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, CUBEChinese has the right to suspend or terminate your account and refuse any and all current or future use of the online courses.

4.Class preview
Our 1-on-1 trial class is collocated with pre-class preview nursery rhymes and supporting textbooks. To achieve a more effective learning experience, we suggest you to preview the learning materials with your child and familiarize your child with the content before class.
To ensure effective learning environment, you are suggested to enter the classroom 10 minutes ahead of class time to check if your microphone, camera, and speaker are working fine. We suggest having you child visible from the shoulders up.
Our teachers will be awaiting and greeting to your child before class for icebreaking and making sure the network connection is working fine.

If the technical issue is not solved during class, can I reschedule a free trial class?
Our teachers will report the issue to IT service team and we will review the class issue within 1 working day.
If it turns out the issue is caused by the technical issues on the teachers' side, the free trial class will be rescheduled. If it is caused by the technical issues on students' side, please contact your course consultant for more details.
1. You can communicate with the teacher in the classroom after the trial class. Our teacher will comprehensively comment on the child's Chinese proficiency level and briefly answer some of the course questions.
2.Within 24 hours after the trial class, our course consultant will send you a written Chinese evaluation report. Our teacher will evaluate the child's Chinese proficiency in detail from four aspects: listening, speaking, reading and writing, and provide relevant learning advice.
1. To experience a complete learning cycle, we suggest you to have your child make use of the supporting textbooks and videos to review the content learned in class.
2.Within 24 hours after the trial class, you can log in ClassIn to watch the playback of the class.
3.Your course consultant will be connecting with you within 24 hours before and after the trial class to share a personalized report and to provide insights on your child's strengths and opportunities for improvement.
All CUBEChinese teachers undergo a strict selection process as well as receiving confidential information training. Teachers sign confidentiality agreements as part of their teaching contract. They are forbidden to share any private information about students without parental consent. Please refer to our Privacy Policy for more details.
